1. Scope and Contracting Party
These General Terms and Conditions apply to contracts concluded through the online shop of:

These Terms apply to consumers and businesses unless a provision expressly states otherwise.
A consumer is a natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession.
A business customer is a natural or legal person or a partnership with legal capacity acting in the course of its commercial or independent professional activity when concluding the contract.
2. Conclusion of Contract
The presentation of products in our online shop does not constitute a legally binding offer but an invitation to place an order.
By completing the ordering process and submitting the order using the button provided for this purpose, the customer submits a binding offer to purchase the goods contained in the shopping cart.
After the order has been submitted, the customer receives an electronic confirmation that the order has been received. This confirmation of receipt does not necessarily constitute acceptance of the customer's offer.
A contract is concluded when we expressly accept the order, confirm shipment of the goods, or dispatch the goods, whichever occurs first.
For individually manufactured, processed or customer-specific products, additional specifications or confirmation may be required before production begins.
3. Prices and Payment
The prices displayed in the online shop apply at the time the order is placed.
For consumers, prices are displayed including applicable VAT where required by law. Shipping costs and any additional charges are displayed separately during the ordering process before the order is submitted.
For cross-border deliveries, the applicable VAT treatment may depend on the delivery destination and the tax status of the customer.
Business customers are responsible for providing accurate company and VAT identification information where applicable.
Available payment methods are displayed during checkout.
4. Products Made from Natural Wood
Wood is a natural material. Natural variations are characteristic of the product and make each piece unique.
Depending on the type of wood, sorting grade, processing method and product description, natural or product-typical characteristics may include variations in colour, grain, structure and dimensions as well as knots, cracks, end cracks, resin pockets, sapwood, growth-related features, shrinkage, swelling and warping.
Wood reacts to changes in temperature and humidity even after processing. Changes in moisture content may result in dimensional changes, cracks, joints, deformation or warping.
Such characteristics do not constitute a defect insofar as they correspond to the agreed product characteristics, the product description, the selected sorting grade and the characteristics that can reasonably be expected for the respective natural wood product.
The specific product description and any expressly agreed product characteristics remain decisive.
5. Rustic, Vintage and Reclaimed-Wood Products
Products described as rustic, hand-hewn, brushed, vintage, reclaimed wood or having an aged-wood appearance are intentionally characterised by a distinctive and irregular surface.
Depending on the individual product description, these products may feature knots, cracks, checks, sapwood, colour and structural variations, irregular surfaces, processing marks, recesses, nail or fastening marks, holes, dents, old signs of use and inactive historical insect channels or holes.
For genuine reclaimed-wood products, the material may be very old and may display significant signs of its previous use.
These characteristics form part of the intended appearance and agreed characteristics of the product insofar as they are described or typically associated with the product and do not, by themselves, constitute a defect.
Evidence of active pest infestation, such as fresh bore dust attributable to an active infestation, is not covered by this description.
6. Product Grades and Processing
Where products are offered in specific sorting or quality grades, the description of the respective grade on the product page forms part of the agreed product characteristics.
Natural and processing-related variations within the specified grade may occur.
Machining, brushing, hand-hewing or other surface treatments may result in characteristic irregularities, minor tear-outs or structural differences where these are typical of the selected processing method and agreed product appearance.
Any particular requirements concerning appearance, dimensions, structural use or sorting must be agreed before ordering if they go beyond the characteristics stated in the product description.
7. Installation, Storage and Use of Wood Products
Customers must store, process and install wood products in a manner suitable for the respective material and intended use.
Wood must be protected against unsuitable moisture conditions and stored appropriately.
Indoor wood products may react to excessively dry or humid indoor climates. Outdoor products are exposed to weather, sunlight and moisture and may therefore undergo colour changes, greying, swelling, shrinkage or deformation.
Where appropriate, suitable wood protection and professional installation should be used.
Products intended for structural or safety-relevant applications must only be used for such purposes where the product is suitable for the intended application and all applicable technical and legal requirements are observed.
If there is uncertainty regarding structural suitability, the customer should obtain advice from an appropriately qualified professional before installation.
8. Delivery and Shipping
Delivery is available to the countries and regions offered during checkout.
Due to the dimensions and nature of our products, many orders are shipped by freight carrier. Suitable smaller products may be shipped by parcel service.
Shipping costs depend in particular on the delivery destination and the dimensions, length, weight and quantity of the goods.
The applicable shipping costs and shipping method are displayed during the ordering process where they can be calculated automatically.
For exceptionally long, bulky or heavy products for which shipping cannot reasonably be calculated automatically, an individual transport arrangement may be required.

9. Freight Deliveries and Accessibility
For freight deliveries, the customer must provide complete and accurate delivery and contact information.
The customer should ensure that the delivery location is reasonably accessible for the vehicle required for the agreed delivery method.
Where unloading by the customer has expressly been agreed for a particular delivery, the customer must provide the equipment and personnel reasonably required for unloading.
Any special delivery requirements should be communicated before the order is placed or as soon as they become known.
For consumers, statutory rights relating to delivery and the transfer of risk remain unaffected.
10. Delivery Times
Delivery times stated in the online shop or order confirmation apply subject to the respective product availability and agreed shipping method.
If circumstances outside our reasonable control materially affect delivery, we will inform the customer as soon as reasonably possible.
Statutory rights of consumers in the event of delayed delivery remain unaffected.
Partial deliveries may be made where reasonable for the customer and where this does not result in unreasonable additional costs for the customer.
11. Right of Withdrawal for Consumers
Consumers may have a statutory right of withdrawal.
Details regarding the right of withdrawal, applicable exclusions, return costs and the model withdrawal form are contained in our separate Right of Withdrawal policy.
The statutory consumer right of withdrawal does not apply to business customers acting in the course of their commercial or independent professional activity.
12. Customer-Specific and Individually Manufactured Products
For goods that are not prefabricated and whose manufacture is governed by an individual choice or decision of the consumer, or which are clearly personalised to the consumer's requirements, the statutory right of withdrawal may be excluded in accordance with applicable law.
The respective product description and the circumstances of the individual order determine whether this exclusion applies.
This provision does not limit statutory rights relating to defective goods.
13. Statutory Rights in the Event of Defects
Consumers are entitled to the statutory rights applicable to defective goods.
The fact that wood is a natural material does not exclude statutory rights. However, characteristics that have been validly agreed as part of the product's condition, including product-specific natural, rustic or processing characteristics, are taken into account when determining whether a defect exists.
Business customers must inspect delivered goods within a reasonable period after receipt and notify us of identifiable defects without undue delay where required by applicable commercial law.
Any additional agreements concerning business customers remain subject to mandatory law.
14. Transport Damage
Customers are requested to inspect shipments for visible transport damage upon receipt and, where possible, document visible damage.

Failure by a consumer to report transport damage immediately does not affect the consumer's statutory rights.
15. Retention of Title
The goods remain our property until the purchase price has been paid in full.
For business customers, additional retention-of-title rights may apply to the extent permitted by law and expressly agreed.
16. Liability
We are liable without limitation where liability is mandatory by law, in particular for intent and gross negligence and for injury to life, body or health.
Liability under mandatory product liability law remains unaffected.
For consumers, statutory liability rights remain unaffected to the extent that they cannot legally be limited or excluded.
For business customers, liability for ordinary negligence may be limited to foreseeable damage typical of the contract where legally permissible, except where essential contractual obligations, injury to life, body or health, intentional or grossly negligent conduct, or mandatory statutory liability are concerned.
17. Intellectual Property
Texts, photographs, graphics, product images, designs and other content created by or for Vintage-Holz are protected by applicable intellectual property laws.
Use beyond what is necessary for normal use of the online shop requires our prior permission unless otherwise permitted by law.
Third-party rights remain unaffected.
18. Data Protection
Personal data is processed in accordance with applicable data protection law and our Privacy Policy.

19. Governing Law
German law applies to contracts concluded with us, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG), insofar as such a choice of law is legally permissible.
For consumers, this choice of law does not deprive them of the protection afforded by mandatory provisions of the law of the country in which they have their habitual residence where such protection applies under applicable conflict-of-law rules.
20. Jurisdiction for Business Customers
Where the customer is a merchant, legal entity under public law or special fund under public law, and an agreement on jurisdiction is legally permissible, the courts having jurisdiction for our registered place of business shall have jurisdiction.
Mandatory statutory rules on jurisdiction remain unaffected.
This provision does not establish an exclusive place of jurisdiction for consumers where such an agreement would not be legally permissible.
21. Severability
If an individual provision of these Terms is or becomes invalid or unenforceable, the validity of the remaining provisions remains unaffected to the extent permitted by law.
Mandatory statutory provisions apply in place of any invalid provision.
